PayLeaf Terms of Service

These Terms of Service ("Terms") govern your access to and use of PayLeaf ("PayLeaf," "we," "us," or "our"), a QR and in-person (Tap to Pay on iPhone) payment tool for Canadian small-business vendors, operated by Nishan Singh, an individual based in British Columbia, Canada.
By creating an account or using PayLeaf, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use PayLeaf.
PayLeaf is a business tool powered by Stripe. It is not a bank, money-services business, wallet, or money-transfer service. All payment processing, card handling, identity verification, and payouts are performed by Stripe.
1. Eligibility
You must be a business owner or authorized representative, of the age of majority in your province, and legally able to enter into contracts. PayLeaf is intended for use by Canadian vendors accepting payments in Canada.
2. Your account
- You are responsible for the accuracy of the information you provide (business name, address, tax settings, etc.) and for keeping it current.
- You are responsible for maintaining the security of your account credentials and for all activity under your account.
- You must complete Stripe's onboarding and verification to accept payments. Payment acceptance, payouts, and account status are subject to Stripe's approval and terms.
3. The service
PayLeaf lets you:
- Create QR payment links that your customers can scan and pay in their browser
- Accept in-person contactless payments via Tap to Pay on iPhone (subject to Apple and Stripe requirements and availability)
- Calculate applicable Canadian taxes, send receipts, and view your transaction history
PayLeaf provides the software interface. The actual movement of funds, card processing, and payouts are provided by Stripe under Stripe's agreements, which you also agree to by using PayLeaf.
4. Fees
- Free plan: PayLeaf charges a platform fee of 0.5% per successful transaction, in addition to Stripe's own processing fees. There is no monthly fee on the Free plan.
- Stripe's processing fees are set by Stripe and are separate from PayLeaf's fee.
- Fees are deducted from or charged in connection with each transaction as applicable.
- We may change our fees with reasonable advance notice.
5. PayLeaf Pro subscription
PayLeaf offers an optional paid subscription, PayLeaf Pro:
- Price: CAD $19 per month.
- Free trial: New Pro subscriptions include a 7-day free trial. If you do not cancel before the trial ends, your subscription automatically begins and you will be charged CAD $19.
- Auto-renewal: PayLeaf Pro automatically renews each month at CAD $19 until you cancel. By subscribing, you authorize recurring monthly charges through Stripe.
- The 0.5% per-transaction platform fee still applies on Pro. The subscription unlocks additional features; it does not reduce transaction fees.
- Cancellation:You can cancel anytime from within the app (Account → Manage Subscription), which opens Stripe's secure billing portal. Cancellation stops future charges. Access to Pro features continues until the end of the current billing period. Except where required by law, payments already made are non-refundable.
- Feature availability:Some Pro features may be described as "coming soon." These are provided as they become available and are not guaranteed by a specific date.
- Billing for PayLeaf Pro is processed securely by Stripe.
6. Taxes
You are solely responsible for determining, collecting, and remitting all applicable taxes for your sales. PayLeaf provides tax-calculation tools as a convenience based on the settings you configure, but PayLeaf does not provide tax, accounting, or legal advice, and is not responsible for the accuracy of your tax settings or your tax compliance.
7. Acceptable use
You agree not to use PayLeaf to:
- Process payments for illegal goods, services, or activities, or anything prohibited by Stripe's or Apple's terms or restricted-business lists
- Engage in fraud, money laundering, or deceptive or abusive practices
- Violate any applicable law or regulation
- Interfere with, disrupt, reverse-engineer, or attempt to gain unauthorized access to the service or its systems
We may suspend or terminate accounts that violate these Terms or that Stripe, Apple, or we determine present risk.
8. Customer payments and disputes
- You are the merchant of record for your sales. You are responsible for your goods, services, customer relationships, refunds, and chargebacks.
- Refunds, disputes, and chargebacks are handled in accordance with Stripe's processes and your agreement with Stripe.
9. Intellectual property
PayLeaf, its name, logo, and software are owned by us and protected by law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use PayLeaf for your business, subject to these Terms. "Tap to Pay on iPhone" and related marks are the property of Apple Inc.
10. Third-party services
PayLeaf relies on third-party services, including Stripe (payments), Supabase (hosting), and Apple (authentication and Tap to Pay on iPhone). Your use of these services through PayLeaf is also subject to their respective terms and privacy policies. We are not responsible for the acts or omissions of these third parties.
11. Disclaimers
PayLeaf is provided "as is" and "as available," without warranties of any kind, express or implied, to the fullest extent permitted by law. We do not warrant that the service will be uninterrupted, error-free, or secure, or that any "coming soon" feature will be released.
12. Limitation of liability
To the fullest extent permitted by law, PayLeaf and its operator will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of the service. Our total liability for any claim relating to the service will not exceed the greater of (a) the fees you paid us in the three months before the claim, or (b) CAD $100.
Nothing in these Terms limits liability that cannot be limited under applicable law.
13. Indemnification
You agree to indemnify and hold harmless PayLeaf and its operator from any claims, losses, or damages, including reasonable legal fees, arising from your use of the service, your sales, your tax handling, or your violation of these Terms or applicable law.
14. Termination
You may stop using PayLeaf and delete your account at any time (Account → Delete Account). We may suspend or terminate your access if you violate these Terms, if required by our service providers or law, or to protect the service or its users. Provisions that by their nature should survive termination (including fees owed, disclaimers, limitation of liability, and indemnification) will survive.
15. Changes to these Terms
We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, where appropriate, notify you in the app. Your continued use of PayLeaf after changes take effect constitutes acceptance of the updated Terms.
16. Governing law
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located in British Columbia, subject to any mandatory consumer-protection rights available to you.
