Terms of Service

1. Eligibility

You must be a business owner or authorized representative, of the age of majority in your province, and legally able to enter into contracts. PayLeaf is intended for use by Canadian vendors accepting payments in Canada.

2. Your account

• You are responsible for the accuracy of the information you provide (business name, address, tax settings, etc.) and for keeping it current.
• You are responsible for maintaining the security of your account credentials and for all activity under your account.
• You must complete Stripe's onboarding and verification to accept payments. Payment acceptance, payouts, and account status are subject to Stripe's approval and terms.

3. The service

PayLeaf lets you:

• Create QR payment links that your customers can scan and pay in their browser
• Create and send invoices carrying their own QR pay code, and have them marked paid automatically when payment settles
• Draft invoice line items from a plain-language description of the work, using the optional AI drafting feature (Section 5)
• Calculate applicable Canadian taxes, send receipts and branded invoice PDFs, and view your transaction history and reports

PayLeaf provides the software interface. The actual movement of funds, card processing, and payouts are provided by Stripe under Stripe's agreements, which you also agree to by using PayLeaf.

4. Fees

• PayLeaf is free to use. On a card payment a combined fee of 3.4% + 30¢ per successful transaction, inclusive of payment processing, is deducted from the transaction. That rate is for a standard domestic Canadian card; international and premium cards are processed at a higher rate. There is no monthly fee, no terminal rental, and no monthly minimum.
• On a bank payment (Pay by bank, by pre-authorized debit) we charge a single all-in fee of 1.5% of the invoice total, with a minimum of $5.00, with nothing else deducted. Pay by bank is available only on invoices of $250.00 or more and only while you have the option enabled. See our Fee Disclosure for the full schedule.
• No fee is charged on a payment that does not complete. If a pre-authorized debit is returned unpaid, the invoice reopens and no fee is retained for that attempt.
• Stripe may charge separately for specific events such as disputes, refunds of currency-converted payments, or payouts to certain accounts, under its own terms.
• Fees are deducted from or charged in connection with each transaction as applicable.
• We may change our fees with reasonable advance notice.

5. Invoices and AI drafting

• You are responsible for your invoices. You control what an invoice says — the customer, line items, amounts, taxes, due date and notes — and you are responsible for its accuracy and for your right to bill that customer. PayLeaf provides the tool; it is not a party to the underlying sale.
• Customer information.When you enter a customer's name or email address on an invoice, you confirm you are entitled to use it for billing that customer. We process it on your behalf as described in our Privacy Policy.
• Payment and status. An invoice payment page is reachable only through its unguessable link. When payment settles through Stripe, the invoice is marked paid automatically. A settled invoice cannot be paid twice through PayLeaf.
• AI drafting is optional and advisory. If you use it, PayLeaf sends your plain-language description, your business name and type, and line items from your recent invoices to our AI provider to generate a suggested draft. Drafts are suggestions only — descriptions and prices may be wrong or unsuitable. Nothing is created or sent until you review, edit and save it, and you remain solely responsible for every invoice you issue. PayLeaf does not provide tax, accounting, pricing, or legal advice.
• Availability. AI drafting is subject to fair-use rate limits and may be changed, limited, or discontinued.

6. Taxes

You are solely responsible for determining, collecting, and remitting all applicable taxes for your sales. PayLeaf provides tax-calculation tools as a convenience based on the settings you configure, but PayLeaf does not provide tax, accounting, or legal advice, and is not responsible for the accuracy of your tax settings or your tax compliance.

7. Acceptable use

You agree not to use PayLeaf to:

• Process payments for illegal goods, services, or activities, or anything prohibited by Stripe's or Apple's terms or restricted-business lists
• Engage in fraud, money laundering, or deceptive or abusive practices
• Violate any applicable law or regulation
• Interfere with, disrupt, reverse-engineer, or attempt to gain unauthorized access to the service or its systems

We may suspend or terminate accounts that violate these Terms or that Stripe, Apple, or we determine present risk.

8. Customer payments and disputes

• You are the merchant of record for your sales. You are responsible for your goods, services, customer relationships, refunds, and chargebacks.
• Refunds, disputes, and chargebacks are handled in accordance with Stripe's processes and your agreement with Stripe.
• Collecting on an unpaid invoice is between you and your customer. PayLeaf does not pursue collection, guarantee payment, or advance funds.

9. Intellectual property

PayLeaf, its name, logo, and software are owned by us and protected by law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use PayLeaf for your business, subject to these Terms. You retain ownership of the content you enter, including your invoices and business details.

10. Third-party services

PayLeaf relies on third-party services, including Stripe (payments), Supabase (database and authentication hosting), Vercel (application hosting), Anthropic (AI invoice drafting), Resend (email delivery), Expo (push notifications), and Apple (authentication and the App Store). Your use of these services through PayLeaf is also subject to their respective terms and privacy policies. We are not responsible for the acts or omissions of these third parties.

11. Disclaimers

PayLeaf is provided "as is" and "as available," without warranties of any kind, express or implied, to the fullest extent permitted by law. We do not warrant that the service will be uninterrupted, error-free, or secure, that any planned feature will be released, or that AI-generated invoice drafts will be accurate or suitable for your business.

12. Limitation of liability

To the fullest extent permitted by law, PayLeaf and its operator will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of the service. Our total liability for any claim relating to the service will not exceed the greater of (a) the fees you paid us in the three months before the claim, or (b) CAD $100.

Nothing in these Terms limits liability that cannot be limited under applicable law.

13. Indemnification

You agree to indemnify and hold harmless PayLeaf and its operator from any claims, losses, or damages, including reasonable legal fees, arising from your use of the service, your sales, your tax handling, or your violation of these Terms or applicable law.

14. Termination

You may stop using PayLeaf and delete your account at any time (Account → Delete Account). We may suspend or terminate your access if you violate these Terms, if required by our service providers or law, or to protect the service or its users. Provisions that by their nature should survive termination (including fees owed, disclaimers, limitation of liability, and indemnification) will survive.

15. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, where appropriate, notify you in the app. Your continued use of PayLeaf after changes take effect constitutes acceptance of the updated Terms.

16. Governing law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts located in British Columbia, subject to any mandatory consumer-protection rights available to you.
